A human services community benefit organisation engaged Sotica to conduct a ‘governance review’ as a means of ensuring that the Board was performing effectively, efficiently, and with roles and responsibilities that were clearly distinguished from those of the executive leadership team. By critically reviewing the organisation’s Constitution, Board Policies and Procedures, Board Meeting Review documents, sample Board document packs, the Board Committees structure and Terms of Reference and several other relevant documents, Sotica was able to identify areas of concern for further Board consideration. Sotica’s Report to the Board made numerous recommendations that enabled the Board to efficiently consider and prioritise resultant decisions and actions, enabling both the Board and the organisation’s executive leadership team to continue running the organisation with confidence while systematically addressing important short-term, mid-term and long-term governance issues.
